1. What SiteCycle Is

SiteCycle operates an online marketplace that connects independent buyer and seller businesses — general contractors, subcontractors, and other commercial construction firms in the New York City area — to buy and sell surplus construction material. SiteCycle is not a party to any transaction between a buyer and a seller. We do not take title to, inspect, warehouse, or transport listed material. Each transaction is a direct agreement between the buyer's company and the seller's company; SiteCycle provides the platform, payment processing integration, and transaction records that support it.

2. Accounts & Eligibility

SiteCycle is intended for use by commercial construction businesses acting in a business capacity, not individual consumers. You must provide accurate company and account information, keep it up to date, and are responsible for activity that occurs under your account and company profile.

3. Seller Responsibilities & Authority to Sell

Before publishing a listing, every seller must affirmatively confirm the following attestation:

"I confirm that I, or the company I am listing on behalf of, owns this material or has authority to sell or transfer it. I understand SiteCycle relies on this confirmation and may audit, suspend, or remove listings and accounts found to violate it."

SiteCycle relies on this attestation and does not independently verify ownership or chain of title for listed material. Sellers are solely responsible for the accuracy of their listing descriptions, including condition, quantity, dimensions, and any representations about certifications, fire rating, or code compliance. 4. Buyer Responsibilities

Buyers are solely responsible for determining whether any material is suitable for its intended use and complies with applicable building codes, project specifications, manufacturer requirements, and regulatory requirements. SiteCycle does not certify the structural, electrical, fire-safety, or other regulatory suitability of any material merely by displaying a listing on the platform, and a listing being available on SiteCycle is not a representation by SiteCycle that the material is fit for any particular purpose. 5. Fees & Payments

SiteCycle charges a platform fee on completed transactions, currently approximately 10% of the transaction subtotal. The applicable fee percentage is configurable and is disclosed to both parties at checkout before payment is submitted. Payments are processed through our third-party payment processor, Stripe; SiteCycle never stores raw payment card numbers, and card details are handled directly by Stripe's systems. Seller payouts are made to the seller's designated company payout account.

6. Account Suspension & Enforcement

SiteCycle may warn, suspend, or terminate accounts, and may remove listings, for violations of these Terms, the Marketplace Rules, or applicable law, including misrepresented authority to sell, prohibited materials, fraud, or abuse of the platform.

7. Disputes

If a buyer and seller disagree about an order — for example, a claim that material was not as described, was short in quantity, or was damaged — either party may open a dispute through the in-app dispute workflow, which is reviewed by SiteCycle administrators. SiteCycle's role in that workflow is limited to reviewing the information and transaction records submitted by both parties; SiteCycle is not an arbitrator, inspector, or guarantor of the physical condition of any material beyond that in-app review process, and does not resolve disputes through any external or binding arbitration process under these Terms.

8. Disclaimer of Warranties

The platform is provided on an "as is" and "as available" basis. Except as expressly stated in these Terms, SiteCycle makes no warranties, express or implied, regarding the platform or any listed material, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, SiteCycle will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss arising from a transaction between a buyer and a seller, including disputes over material condition, quantity, suitability, or code compliance. SiteCycle's aggregate liability for any claim arising out of use of the platform is limited to the platform fees paid by the claiming party in the twelve months preceding the claim.

10. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. [Verify: venue and jurisdiction provisions to be confirmed by counsel.]

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above.
